Terms of Service

Welcome to PopUp. These Terms of Service ("Terms") are an agreement between you and QuadCorp Digital (Pty) Ltd ("QuadCorp", "we", "us"), which operates PopUp (the "Platform"). By using PopUp you agree to these Terms. If you don't agree, please don't use the Platform.

1. What PopUp is

1.1 PopUp is a free directory and discovery platform where pop-ups, vendors and small businesses in the Cape Town area ("Businesses") can create a page and post upcoming pop-up events, and where members of the public ("Visitors") can discover, save, follow and review them.

1.2 PopUp is not a marketplace. We don't sell any goods or services listed on the Platform, take orders or process payments. Any purchase, order, booking or arrangement is made directly between you and the Business, and is governed by whatever terms the Business offers.

2. Who can use PopUp

2.1 Anyone can browse PopUp without an account.

2.2 To create an account you must be at least 13 years old. If you are under 18, a parent or guardian must agree to these Terms and to us processing your personal information on your behalf, as required by POPIA.

2.3 To list a Business, you must be at least 18 and authorised to act for that Business.

3. Your account

3.1 Give accurate information when you sign up, and keep it up to date.

3.2 Keep your password secret. You're responsible for everything that happens on your account. Tell us immediately at quadcorp.co.za@gmail.com if you think someone else has accessed it.

3.3 Each account may manage one Business unless we agree otherwise.

4. Business listings

4.1 Approval. Every Business page is reviewed before it goes live. We may approve it, ask for changes, or decline it at our discretion. For example, we may decline a listing if it appears fake, incomplete, misleading or outside the Cape Town area.

4.2 Accuracy. Businesses are solely responsible for their listings, including names, photos, menus, prices, opening times, locations and pop-up dates. Keep them accurate and current, and remove or update pop-ups that are cancelled or changed.

4.3 Compliance. Businesses are responsible for complying with all laws that apply to them. That includes trading permits, health and safety and food-handling rules, the Consumer Protection Act, the Liquor Act (where relevant), tax, and any venue or municipal requirements.

4.4 Verified badge. A "Verified" badge means our team has reviewed and approved the listing. It is not a guarantee, endorsement or warranty of the Business, its products or its services.

4.5 Fees. Listing is free during our launch period. If we introduce paid features, we'll give at least 30 days' notice, and nothing will be charged without your agreement.

5. Content you post

5.1 "Content" means anything you upload or post on PopUp: text, photos, logos, menus, reviews, replies and so on.

5.2 You keep ownership of your Content. You give us a non-exclusive, royalty-free, worldwide licence to host, display, reproduce, resize and share your Content to operate and promote PopUp. That includes showing your listing in search results, in link previews, and on PopUp's social media. The licence ends when you delete the Content or your account, except where the Content has already been shared or must be kept by law.

5.3 You confirm that you own, or have permission to use, all Content you post, including photos of other people.

6. Reviews

6.1 Reviews must be honest, and based on your own genuine experience with the Business.

6.2 You may not:

• review your own Business or a competitor's;
• post reviews in exchange for payment, discounts or freebies without clearly saying so; or
• coordinate fake reviews.

6.3 Businesses may publicly reply to reviews once per review, and may report reviews they believe break these Terms.

6.4 We don't edit reviews. We may remove a review, or a reply, that breaks these Terms, but we won't remove a review just because it is negative.

7. Things you must not do

You must not use PopUp to:

• post anything unlawful, false, misleading, defamatory, hateful, harassing, sexually explicit, violent, or that infringes anyone's rights;
• list or promote illegal goods or services, weapons, drugs, or the sale of alcohol or tobacco to minors;
• impersonate any person or business, or create fake accounts or listings;
• spam, scam or phish other users, or collect their personal information without consent;
• interfere with the Platform's security, scrape it, overload it, or try to access accounts or data that aren't yours; or
• copy, resell or commercially exploit the Platform or its content without our permission.

8. Reporting and moderation

8.1 Anyone can report a Business, pop-up or review using the Report buttons, or by emailing quadcorp.co.za@gmail.com.

8.2 We may review, hide, suspend or remove any Content, listing or account that we reasonably believe breaks these Terms or the law, or puts users at risk. Where reasonable, we'll tell you why.

9. Notifications

We send in-app notifications about activity relevant to you, such as listing approvals, new reviews, new followers and new pop-ups from businesses you follow. We'll also send essential account emails, such as confirming your email address or resetting your password.

10. Privacy

Our Privacy Policy and Cookie Policy explain how we collect and use personal information, in line with the Protection of Personal Information Act (POPIA). By using PopUp you acknowledge them.

11. Our intellectual property

The PopUp name, logo, design and software belong to QuadCorp. You may not use them without our written permission. Businesses may use their PopUp page link and QR code to promote their own listing.

12. Availability and changes to the Platform

PopUp is provided "as is" and "as available". We work to keep it running smoothly, but we don't guarantee it will always be available, error-free or secure. We may change, add or remove features at any time.

13. Disclaimers

13.1 We don't verify every detail of every listing or pop-up, and we're not responsible for the products, services, prices, quality, safety, conduct or availability of any Business, or for any pop-up event, including cancellations, changes or what happens at it.

13.2 Information on PopUp is for general guidance. Always confirm important details, such as times, locations, prices and allergens, directly with the Business.

14. Limitation of liability

14.1 To the extent permitted by law, QuadCorp is not liable for any indirect, incidental or consequential loss, or for any loss arising from:

• your dealings with any Business or other user;
• Content posted by others; or
• your use of, or inability to use, the Platform.

14.2 Because PopUp is free, our total liability to you for any claim relating to the Platform is limited to R500, to the extent permitted by law.

14.3 Nothing in these Terms limits any rights you have under the Consumer Protection Act or other law that can't be excluded.

15. Indemnity

If you're a Business, or you post Content, you agree to indemnify QuadCorp against claims, losses and costs arising from your listing, your Content, your products or services, or your breach of these Terms or the law.

16. Ending your use

16.1 You can stop using PopUp and delete your account at any time from your Profile, or by emailing us.

16.2 We may suspend or close an account that breaks these Terms, or for legal or safety reasons.

16.3 Sections that by their nature should survive termination (for example 5.2, 13, 14 and 15) will continue to apply.

17. Changes to these Terms

We may update these Terms from time to time. We'll change the "Last updated" date. For important changes, we'll notify you in the app before they take effect. If you keep using PopUp after the changes, you accept the new Terms.

18. Law and disputes

These Terms are governed by the laws of the Republic of South Africa. Please contact us first so we can try to resolve any issue informally. If we can't, disputes will be handled by the competent courts of South Africa.
